1. ACCEPTANCE OF THE TERMS
Welcome to the TOZIENT website. Your use of this website (the "Site") is subject to the following terms and conditions (the "Terms"), which may be updated from time to time. The current version of the Terms is indicated above. These Terms constitute a legally binding agreement between you and TOZIENT.
PLEASE CAREFULLY REVIEW THE MUTUAL ARBITRATION AGREEMENT DETAILED BELOW, AS IT REQUIRES YOU TO RESOLVE DISPUTES WITH TOZIENT ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. BY AGREEING TO THESE TERMS, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL PROVISIONS OF THIS MUTUAL ARBITRATION AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION. THESE TERMS ALSO CONTAIN DISCLAIMERS, LIMITATIONS OF LIABILITY, AND INDEMNIFICATION OBLIGATIONS, ALL OF WHICH MAY LIMIT YOUR LEGAL RIGHTS AND REMEDIES.
Your use of the Site constitutes your agreement to these Terms. Please read them carefully.
Please note that we offer a wide range of products ("Products") and services ("Services"), and additional terms may sometimes apply, in which case you will be notified of such additional terms.
2. MODIFICATIONS TO THE TERMS
We reserve the right to change or modify these Terms at any time at our sole discretion. If we make changes to these Terms, we will provide notice of such changes, such as by posting a notice on the Site and/or updating the "Last Updated" date above. Your continued use of the Site following the posting of any changes or modifications constitutes your acceptance of such changes or modifications. If you do not agree to the amended Terms, you must stop using our Site.
Any revised terms and/or privacy policy will supersede all previous versions, notices, or statements regarding the Site. You agree to sign a non-electronic version of these Terms if we so request.

TOZIENT does not sell products to children. Adults may purchase products via the Site using a credit card or other permitted payment method. If you are under 18, you may use the Site only with the involvement of a parent or guardian. TOZIENT reserves the right to refuse service and/or purchases, terminate accounts, remove or edit content, or cancel orders at its sole discretion.
If you are a parent or guardian and you consent to your minor's registration and use of the Site, you agree to be bound by these Terms in respect of such minor's use of the Site.
We reserve the right to withdraw or amend this Site, and any service or material we provide on the Site, at our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. We may restrict access to some parts of the Site, or the entire Site, from time to time. We also reserve the right to disable any account, username, password, or other identifier, whether chosen by you or provided by us, at any time at our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.
You are responsible for maintaining the confidentiality of your account information and password. You are also responsible for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.
6. GEOGRAPHIC RESTRICTIONS
The owner of the Site is based in the United States. Access to the Site may not be legal by certain persons or in certain countries, and our Products are available for purchase and delivery only in certain countries. When you access the Site, you do so on your own initiative and are responsible for compliance with local laws.
7. INTELLECTUAL PROPERTY RIGHTS
As set forth throughout this section, TOZIENT owns intellectual property rights protected by worldwide patent, copyright, trademark, trade dress, and other laws (both statutory and common law).
TOZIENT is the sole owner of or the legitimate licensee of all rights and interests in this Site and any content contained therein (including, but not limited to, designs, product designs, photography, text, typography, and software, whether currently registered or not). "tozient.com", "TOZIENT", "TOZIENT.COM", "tozient.site", "tozient.asia", "tozient.us" and related icons and logos, as well as product names (including, but not limited to, certain related descriptions, images, text, and graphics) are registered trademarks or trademarks and/or service marks of TOZIENT and are protected by applicable copyright, trademark, and other proprietary rights laws. Unauthorized copying, modification, use, or publication of these marks and any marks we may register in the future is strictly prohibited.
You agree not to infringe any or all of TOZIENT's ownership and intellectual property rights. You hereby agree to indemnify TOZIENT for any infringement of intellectual property rights resulting from your use of the Site and any content contained therein (or other materials described above). All rights not otherwise claimed under these Terms or by TOZIENT are reserved.
The Site contains materials including, but not limited to, text, images, designs, photographs, videos, audio clips, graphics, button icons, pictures, advertising copy, URLs, technology, software, and the overall arrangement or "look and feel" of such materials, including copyrightable material, as well as trademarks, logos, and service marks that belong to either TOZIENT, its licensors, licensees, or other third parties (collectively, the "Content"). The Site and the Content are owned, licensed, or controlled by TOZIENT, its licensors, and certain other third parties, and all right, title, and interest in and to the Content and the Site are the property of TOZIENT, its licensors, or certain other third parties and are protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property rights and laws to the fullest extent possible. By using the Site, you will not obtain any ownership or intellectual property or other interest in any item or content on the Site. Subject to your agreement and compliance with this Agreement, TOZIENT grants you a limited, non-exclusive, non-transferable, non-assignable, revocable license to access, display, view, and use the Content on the Site for your own personal, non-commercial use only. You agree that TOZIENT may immediately and without notice to you, suspend or terminate the availability of the Site, its Content, or the Products without any liability to you or any third party.
8. PROHIBITED USES
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:
In any way that violates any applicable federal, state, local, or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate TOZIENT, a TOZIENT employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone'ss use or enjoyment of the Site, or which, as determined by us, may harm TOZIENT or users of the Site or expose them to liability.
Additionally, you agree not to:
Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site.
Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Site.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of the Site.
9. USER-GENERATED CONTENT
Visitors may post reviews, opinions, photos, and other content; send e-cards and other communications; and submit suggestions, ideas, comments, questions, or other information (collectively, "User-Generated Content"). You are solely responsible for your own User-Generated Content and the consequences of posting it to the Site. TOZIENT does not endorse any User-Generated Content or any opinion, recommendation, or advice expressed therein.
By submitting User-Generated Content, you represent and warrant to TOZIENT that: (i) your User-Generated Content is accurate, does not violate these Terms, and will not cause injury to any person or entity; (ii) your User-Generated Content does not infringe any copyright, trademark, trade secret, patent, or other intellectual property right, any right of privacy or publicity of any third party, or any applicable law, rule, or regulation; (iii) you own or have the lawful right to use and authorize TOZIENT to use your User-Generated Content, including written consent from each identifiable person (where applicable) to use their name, voice, likeness, or any other applicable personal rights; and (iv) such User-Generated Content is not unlawful, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, otherwise injurious to third parties, or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." Any User-Generated Content or other materials, information, or ideas you submit to or post or publish on the Site are non-confidential.
As between you and TOZIENT, you retain all ownership rights you have in your User-Generated Content; however, you hereby grant TOZIENT a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, fully sub-licensable (through multiple tiers), and transferable right and license to use, reproduce, distribute, edit, modify, translate, reformat, create derivative works from, publicly display, publicly perform, and otherwise exploit (including for promotional purposes via the Internet, broadcast television, or any other use or media) your User-Generated Content (in whole or in part), including future rights that TOZIENT (and any successor) may otherwise become entitled to that are not yet in existence, as well as new uses, media, means, and forms of exploitation throughout the universe involving current or future technology. You grant TOZIENT and sub-licensees the right to use the name that you submit in connection with such User-Generated Content, if they choose.
TOZIENT has the right (but not the obligation) to monitor and edit or remove any activity or User-Generated Content. TOZIENT takes no responsibility and assumes no liability for any User-Generated Content. By posting User-Generated Content, you agree to indemnify TOZIENT for all losses resulting from any claims related to the User-Generated Content you provide, as set forth in the "Indemnification" section below.
You further agree that TOZIENT is not responsible for any User-Generated Content posted by others (including defamatory, offensive, or illegal material), shall have no liability to you for such material, and that the risk of harm from such material rests entirely with you.
10. USE OF SOCIAL MEDIA TAGS
When you use social media tags identifying or relating to TOZIENT (e.g., on Instagram or Twitter), including but not limited to @TOZIENT, #TOZIENT, or any other similar social media tags relating to TOZIENT, you agree to grant TOZIENT an unrestricted, irrevocable, royalty-free, perpetual, fully paid-up, transferable, worldwide license to copy and use the uploaded content, including images, in TOZIENT's (or its sub-licensees') marketing materials and across all social media channels.
11. PRODUCT ORDERS
TOZIENT reserves the right to limit the quantities of any item ordered and/or to refuse service to any customer without prior notice. Information verification may be required prior to the acceptance of an order, and if this includes personal information, it will be processed according to our Privacy Policy. Product prices and availability are subject to change without notice. TOZIENT reserves the right to revoke any stated offer and to correct any errors, inaccuracies, or omissions that appear on the Site (including after an order has been submitted). TOZIENT reserves the right to deny or cancel any order, or to limit or terminate your account, for any reason at its sole discretion. Products purchased under quantity discounts may be repriced upon cancellation.
12. RISK OF LOSS
All items purchased from TOZIENT are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
13. RETURNS, REFUNDS, AND TITLE
All returns are subject to our Return Policy. TOZIENT does not take title to returned items until the item arrives at our fulfillment center. At our discretion, a refund may be issued without requiring a return: in such a case, TOZIENT does not take title to the refunded product. For more information on our returns and refunds, please see our Return Policy, which is incorporated into these Terms by reference.
14. RELIANCE ON POSTED INFORMATION & PRODUCT DESCRIPTIONS
Reliance on Posted Information
The information presented on or through the Site is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site, or by anyone who may be informed of any of its contents.
This Site may include content provided by third parties, including materials provided by other users (see User-Generated Content), third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by TOZIENT, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of TOZIENT. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
Product Descriptions
TOZIENT strives to be as accurate as possible; however, errors and omissions do occur. TOZIENT does not warrant that product descriptions or other content on the Site are accurate, complete, reliable, current, or error-free. If a product offered by TOZIENT is not as described, your sole remedy is to return the unused product in accordance with the Return Policy.
Vendor Responsibility
The products available for purchase on this Site are supplied to TOZIENT by third-party vendors ("Vendors"). Vendors are solely responsible for providing accurate information regarding the products they supply to TOZIENT.
15. PRICING
Unless otherwise expressly stated, the retail price displayed for each product on the Site represents the full retail price for that product, excluding shipping and delivery costs, applicable taxes, and any other applicable fees. If you wish to purchase a product, you will pay the retail price displayed next to the product, plus shipping and delivery costs, applicable taxes, and any other applicable fees.
Despite our best efforts, a small number of items in our catalog may be mispriced. If the correct price of an item sold by TOZIENT is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation. We may also offer certain promotions or special offers that are valid only for a limited time.
In some cases, we may include an "Estimated Retail Value" for items with comparable features offered elsewhere, which may or may not represent the prevailing price in each geographic area on any particular date and is merely a comparative price estimate provided for informational purposes, not binding. This is intended only to give you an idea of the retail price of similar products on other platforms.
We may also provide an "Estimated Monthly Payment" for each product. We have partnered with a third-party purchase financing provider to offer financing services to eligible customers who wish to finance their product purchases. This estimate is for informational purposes only. If you click the link, you will be redirected to an independent, co-hosted webpage containing a general estimated monthly payment (subject to several factors). You understand that this co-hosted webpage is also for informational purposes only and that neither TOZIENT nor our purchase financing provider is obligated to provide financing services to you. Any eligibility requirements, payment terms, and other terms for any purchase financing are determined and approved by that purchase financing provider (in its sole discretion), not TOZIENT. Furthermore, once you leave the Site, any personal information collected by such a purchase financing provider will no longer be subject to the TOZIENT Privacy Policy.
16. DELIVERY
Delivery timeframes communicated by TOZIENT are estimates and depend on many factors beyond its control, including but not limited to production delays, shipping delays, government delays, and acts of nature. TOZIENT shall under no circumstances be held liable for deliveries received beyond the estimated delivery date.
17. INDEMNIFICATION
You agree to indemnify and hold harmless TOZIENT, our affiliates, directors, officers, and employees from and against any and all losses, claims, liabilities (including legal fees on a full indemnity basis) that may arise from: (i) your use of the Site, Products, and/or Services; (ii) your breach of these Terms; or (iii) your infringement of any third party's intellectual property rights. You hereby further agree to indemnify and hold harmless TOZIENT, our affiliates, directors, officers, and employees from and against any and all losses, damages, claims, liabilities (including legal fees on a full indemnity basis) that may directly or indirectly arise from any claims by third-party right claimants or other third parties concerning information about such third parties and/or any of their goods and/or services. TOZIENT reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you at your expense, in which case you will cooperate with TOZIENT in asserting any available defenses.
18. LINKS TO THIRD-PARTY WEBSITES
The Site may contain links to other websites on the Internet that are owned and operated by third parties. You acknowledge that TOZIENT is not responsible for the operation of or content located on or through any such website.
19. REMEDIES
You agree that the remedies at law for any actual or threatened breach of this Agreement would be inadequate and that TOZIENT shall be entitled to specific performance or injunctive relief, or both, in addition to any damages that TOZIENT may be legally entitled to recover, together with reasonable expenses of any form of dispute resolution, including, without limitation, attorneys' fees.
No right or remedy of TOZIENT shall be exclusive of any other, whether at law or in equity, including without limitation damages, injunctive relief, attorneys' fees, and expenses.
Any instance of waiver by TOZIENT of its rights or remedies under these Terms and Conditions shall not imply any obligation to grant any similar, future, or other waiver.
20. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, THE WEBSITE, AND ALL CONTENT, PRODUCTS, AND OTHER INFORMATION ON OR ACCESSIBLE FROM OR THROUGH THIS WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, OR ACCURACY. IN NO EVENT SHALL TOZIENT OR ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, UNDER ANY CAUSE OF ACTION WHATSOEVER INCLUDING, BUT NOT LIMITED TO, CONTRACT, TORT, STRICT LIABILITY, WARRANTY, OR OTHERWISE, FOR ANY CLAIM, CAUSE OF ACTION, FEE, EXPENSE, COST, OR LOSS ARISING FROM OR RELATED TO THIS AGREEMENT, THE PRIVACY POLICY, THE RETURN POLICY, THE SHIPPING POLICY, THE PRODUCTS, OR YOUR USE OF THE WEBSITE OR ANY PRODUCTS.
NOTWITHSTANDING ANYTHING IN THESE TERMS TO THE CONTRARY, THIS DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY DOES NOT APPLY IN NEW JERSEY.
21. GOVERNING LAW AND JURISDICTION
This Agreement and any access to or use of the Website or the Products shall be governed by, and construed in accordance with, the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising under, or related to, this Agreement or your use of the Website or Products that is not subject to the mandatory arbitration provisions contained herein shall be brought exclusively in the state courts located in Sheridan County, Wyoming, or the federal courts of the United States in the District of Wyoming, and you hereby consent to the personal jurisdiction and venue of such courts.
22. ARBITRATION AGREEMENT
PLEASE CAREFULLY REVIEW THIS MUTUAL ARBITRATION AGREEMENT, AS IT REQUIRES YOU TO ARBITRATE DISPUTES WITH TOZIENT ON AN INDIVIDUAL BASIS AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. BY AGREEING TO THESE TERMS, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS MUTUAL ARBITRATION AGREEMENT.
Arbitration of Disputes. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Site or Products (collectively, "Disputes") will be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Sheridan County, Wyoming. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Waiver of Class Actions. YOU AND TOZIENT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Opt-Out. You can choose to reject this Arbitration Agreement by mailing us a written opt-out notice within 30 days of the date you first agree to these Terms. The notice must be sent to TOZIENT LLC, 30 N Gould St Ste R, Sheridan, WY 82801, USA, and must include your name, address, and a clear statement that you wish to opt out of this Arbitration Agreement.
23. MISCELLANEOUS
This Agreement constitutes the entire agreement between you and TOZIENT and supersedes any prior version of this Agreement. If any provision of this Agreement is found by the arbitrator or (if proper) a court of competent jurisdiction to be invalid, the remaining provisions shall not be affected thereby and shall continue in full force and effect, and such provision may be modified or severed from this Agreement to the extent necessary to make such provision enforceable and consistent with the remainder of this Agreement.
